Terms of Use

1. PARTIES

You indicate your agreement to these Terms by clicking or tapping on a button indicating your acceptance of these Terms, by executing a document that references them, or by using the Services.

If you will be using the Services on behalf of an organization, you agree to these Terms on behalf of that organization and you represent that you have the authority to do so. In such case, “you” and “your” will refer to that organization.

2. DEFINITIONS

Service: shall mean any activity that Wiseback provides to the User in accordance with this Agreement by means of the questionnaire, evaluation, form and data transmission services provided by the Member through the Platform in order to perform the work and transactions defined in this Agreement.

3. THE SUBJECT OF THE AGREEMENT

The subject of this contract is the determination of the rights and obligations of the Parties, in particular the service provided by Wiseback to the Member to provide the feedback of the Member through the Platform.

By accepting the provisions of this agreement, the Member accepts all statements made by Wiseback regarding the use, membership and services included in the site and its applications. The Member accepts, declares and undertakes that he / she shall act in accordance with all matters specified in the said statements.

4. RIGHTS AND OBLIGATIONS OF THE MEMBER

4.1. During the period of membership, during the membership of the Site, and in the course of any services related to the Site, the Member shall comply with all the conditions in this Agreement, the rules specified in the relevant site of the Site and all applicable legislation, and accepts, declares and undertakes that it understands and approves the rules.

4.2. It is necessary to fill in the necessary information in order to be a member of the Site and the services offered in the Site. No rights and claims under this Agreement may be exercised by minors under 18 years of age. Therefore, if the Member is a real person, the Member hereby agrees and undertakes that by the end of this Agreement the Member is over 18 years old. If the Member is under 18 years of age, it shall be deemed to have received approval / authorization from the parent and / or guardian of the User if this Agreement is approved.

In the case of the User being a legal entity, the User agrees that, with the ratification of this Agreement, the User has established and exists in its jurisdiction in a valid way and that he / she has all power and authority, including the conclusion of this Agreement, and that it has been duly authorized to be concluded.

Wiseback shall have the right to reject the application without giving any justification as may benefit from the applicant’s membership rights. The site does not have any responsibility for the false declaration made by the member.

4.3. If Wiseback requests Wiseback, the Member’s e-mail address must be a member’s and an active e-mail address. In all correspondence related to membership, the e-mail address given to Wiseback is taken as the basis and the address is used. Wiseback acknowledges that the given email is correct and acts accordingly. Wiseback is not liable for any errors or damages that may be caused by false and false e-mails.

4.4. In cases where Wiseback is obliged to make a statement to the authorities in accordance with the provisions of the mandatory legislation in force, the authorities shall be authorized to disclose the confidential / private / commercial information to the official authorities if such information is requested by the authorities, and therefore, from Wiseback, and undertakes that no compensation can be claimed.

4.5. Members are solely responsible for the security, storage, keeping away from third parties’ information and use of the access tools (username, password etc.) that are used by the users to benefit from the services provided by Wiseback through the site. Any transactions carried out with the user name and password belonging to the Member shall be deemed to have been realized by the Member in person. Wiseback does not have any direct or indirect liability for any and all damages and omissions of the members, such as the security, storage, retention of third parties, and the use of third parties.

4.6. Members may not assign this agreement or any rights and obligations under this agreement to any third party, in whole or in part, without the prior written consent of Wiseback; membership cannot be opened for use by members other than the member. Wiseback shall not be liable directly and / or indirectly for any damages incurred or incurred by third parties as a result of such transfers or unauthorized use. The membership of the member who is found to have transferred or transferred his / her membership is canceled.

4.7. Without prejudice to the provisions of the exclusive liability contained in the agreement, the Member agrees to be solely responsible for any damages arising from any unlawful business / transaction performed through the Site.

4.8 Wiseback is the sole owner and the sole owner of the products and / or services, projects, documents, texts, visuals, ideas, research, statistics and all intellectual property used for the services rendered during the contract preparations and during the contract period, and for the provision of services under this contract. All rights arising from the Law on Art Works and legislation belong to Wiseback.

5. WISEBACK’S RIGHTS AND OBLIGATIONS

5.1. Wiseback is able to change the services and content on the site at any time; reserves the right to close and delete the information and contents of the members that are uploaded to the system and that do not comply with the terms specified in this Agreement, including the members, to third parties. Wiseback may use this right without notice and without notice. Members must fulfill any changes and / or corrections requested by Wiseback as soon as possible. Any change and / or correction request requested by Wiseback may be made by Wiseback if deemed necessary. Any damages, legal and penal responsibilities arising out of the failure to fulfill the changes and / or corrections requested by Wiseback by the Members in due time shall be fully owned by the Members.

5.2. Wiseback is not responsible for any portals, websites, files and content accessed through the links on the site, links or content, portals or websites accessed through these links, or the services or products offered on these websites or their content.

5.3. Wiseback, the member information contained on the site, members and members uploaded to the system information and content; security may use its obligation for performance and some statistical evaluations; They can classify and maintain on a database. 5.4. There may be interruptions in the communication of the Site and Members and Members due to technical problems such as failure, neglect, interruption, deletion, distortion, delay in transmission or network failure caused by the Site. Wiseback cannot be held liable for any problems that the Member may experience in the event of interruptions in connection with such interruptions.

5.5. Wiseback may send e-mails that are of utmost importance to the User, such as notifications, alerts, changing terms of use, announcements and commercial messages, to the e-mail address registered in the Member account. Member, e-mail address, account, communication and payment details, especially in connection with all kinds of information is obliged to keep accurate and accurate.

5.6. Wiseback is a member of the website that is not authorized to be accepted by Wiseback and may not be authorized by Wiseback. may temporarily or permanently terminate. Not limited to,

  • The Member has any means of manipulating the operation of the Site by using any method,
  • The Member shall violate the provisions of this Agreement and other contracts concluded between the Parties.
  • Transfer or use the Member profile created for the Member without Wiswack’s express written consent,
  • The member has the activities who violate the rights of third parties,
  • If the information, content, visuals and writings that the Member has shared on the Site are unlawful, or if the information, content visuals and writings shared on the Site are shared with the law and unethical purposes, the may terminate the membership temporarily or permanently without giving information.

 6. LIMITED LIABILITY

Wiseback shall not be liable for any material, moral, indirect or direct damages of the members or members arising from the services and / or applications of the site, and / or in connection with such services and / or applications, shall not be held legally and criminally responsible for its actions.

7. FORCE MAJEURE REASONS

In all cases considered as a force majeure, Wiseback shall not be liable for any performance of this Agreement or late or incomplete performance or non-performance. Such and such cases shall not be deemed to be delayed, incomplete or unenforceable or default for Wiseback, or for any reason under which Wiseback may be liable for any indemnity. 8. European Union General Data Protection Regulation (GDPR)

In limited circumstances, we can provide services to data owners within the European Union and other countries. Wise Bilisim Teknolojileri A.S.; In limited circumstances we are subject to GDPR, we adopt this policy and care to protect the personal data of the data owners. In this context, the personal data of our customers within the European Union can be processed within the framework of this policy within the scope of the European Union General Data Protection Regulation (GDPR) published for the purpose of protecting their personal data and can be transferred to 3rd parties as permitted by the GDPR.

9. CHANGES ON THE AGREEMENT

The Member shall, upon approval of the contract in a virtual environment, become a party to the Contract from the date on which the contract is approved and shall be bound by the provisions of this Agreement. Wiseback shall, if deemed necessary, always have the right and the authority to change the terms and conditions on the Site at any time as it considers that the terms of the general service provided in this agreement are deemed unilaterally. It is the sole responsibility of the Member to follow these changes and announcements. The amended provisions of this agreement shall become effective on the date of their promulgation and the remaining provisions shall remain in full force and shall continue to give effect to their provisions and results.

10. APPLICABLE LAW AND AUTHORITY

Turkish law shall be applied in the application, interpretation and management of legal relations arising under this contract. In case of any disputes arising out of or arising from this contract, the Istanbul Courts and Execution Offices shall be authorized.

11. TERMINATION OF THE AGREEMENT

This agreement shall enter into force on the date of membership on the site. the membership of the member shall remain in force until the membership is canceled or resigned from its membership.

Wiseback may terminate the agreement unilaterally if members violate the provisions of this contract and similar rules regarding use, membership and services within the site, and members shall be obliged to compensate all losses caused by Wiseback for termination.
